Terms of Service

1. Agreement to these Terms

By accessing or using AdexPilot, you agree to these Terms. If you use AdexPilot on behalf of a company, organization, agency, or client, you represent that you have authority to bind that entity to these Terms.

If you have a separate written agreement or order form with AdexPilot, that agreement controls if there is a conflict.

2. The AdexPilot service

AdexPilot connects ecommerce and advertising data sources to help teams understand product performance, identify opportunities, reduce wasted spend, and review recommendation-driven actions.

• Store Intelligence helps describe what a store sells and who it serves.
• Product Intelligence classifies products and summarizes advertising suitability.
• Daily briefings, alerts, and recommendations surface possible actions.
• Approvals and execution workflows help users keep control over spend-affecting changes.

3. Accounts, workspaces, and permissions

You are responsible for maintaining accurate account information, protecting login credentials, and controlling access to your workspace. Workspace owners and admins are responsible for team member permissions, connected providers, billing settings, and actions taken by users in the workspace.

You must promptly notify us at support@adexpilot.com if you believe your account or workspace has been compromised.

4. Integrations and provider access

AdexPilot may connect to services such as Shopify, Google Ads, Merchant Center, Stripe, and other providers when you authorize those integrations. You are responsible for ensuring you have the right to connect each account and use its data in AdexPilot.

• Provider availability, APIs, limits, permissions, and policies may change.
• AdexPilot is not responsible for outages, errors, or policy decisions made by third-party providers.
• You are responsible for reviewing provider settings and confirming that any action is appropriate for your business.

5. AI recommendations and business decisions

AdexPilot may use automated analysis and AI systems to generate summaries, alerts, chat answers, recommendations, drafts, and action plans. These outputs are not professional financial, legal, tax, marketing, or advertising advice.

• You are responsible for reviewing outputs before relying on them.
• AI outputs may be incomplete, inaccurate, delayed, or based on limited data.
• AdexPilot does not guarantee profit, ROAS, POAS, conversions, revenue, ranking, inventory outcomes, or advertising results.
• Spend-affecting execution should be reviewed carefully before approval.

6. Approvals, automations, and execution

AdexPilot is designed around a safety-first workflow: AI suggests, users review, and the system executes only through controlled paths. If you enable automation or auto mode, you remain responsible for the rules, limits, approvals, and provider changes that occur in your connected accounts.

• Do not enable automation unless you understand the action limits and business impact.
• Execution can fail because of provider errors, permission changes, stale data, policy restrictions, or unavailable accounts.
• Rollback or undo features, if available, may be limited and are not guaranteed to restore every provider state.

7. Billing, subscriptions, and credits

Paid plans, credit packs, usage limits, trials, renewals, invoices, and checkout flows are displayed in AdexPilot or through our billing provider. By purchasing a plan or credit pack, you authorize the applicable charges.

• Subscriptions may renew automatically unless canceled according to the billing flow.
• Credits power certain AI, analysis, reporting, or compute-heavy features and may be subject to plan limits.
• Credit packs are one-time top-ups unless otherwise stated.
• Taxes, fees, currency conversion, and payment processing rules may apply.
• Refunds are provided only where required by law or explicitly approved by AdexPilot.

8. Acceptable use

You agree not to misuse AdexPilot or help anyone else misuse it.

• Do not violate laws, provider terms, advertising policies, or third-party rights.
• Do not attempt to access another workspace, account, provider connection, or user data without permission.
• Do not reverse engineer, scrape, overload, probe, scan, or attack the service.
• Do not upload malicious code or use AdexPilot to distribute spam, fraud, deceptive claims, or harmful content.
• Do not bypass billing, usage limits, entitlement checks, approval controls, security controls, or rate limits.

9. Your data and content

You retain ownership of your business data, store data, advertising data, and content you provide to AdexPilot. You grant AdexPilot the rights needed to host, process, analyze, transmit, display, secure, and support that data so we can provide the service.

You are responsible for ensuring that your data, products, claims, ads, and connected accounts comply with applicable laws and provider policies.

10. AdexPilot intellectual property

AdexPilot, including the software, website, designs, workflows, models, prompts, documentation, branding, and related technology, is owned by AdexPilot or its licensors. These Terms do not grant you ownership of AdexPilot intellectual property.

Feedback you provide may be used by AdexPilot without restriction or obligation to you.

11. Beta and experimental features

Some features may be labeled beta, preview, experimental, or early access. These features may change, break, be removed, have limited support, or produce less reliable results. Use them at your own discretion.

12. Suspension and termination

We may suspend or terminate access if we believe you violated these Terms, created risk for AdexPilot or others, failed to pay, abused the service, or used the service unlawfully. You may stop using AdexPilot or cancel your subscription through the available billing flow.

After termination, we may retain certain records as needed for billing, tax, legal, security, audit, dispute resolution, backup, and legitimate business purposes.

13. Disclaimers

AdexPilot is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, data accuracy, and business outcome.

14. Limitation of liability

To the maximum extent permitted by law, AdexPilot will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, wasted ad spend, provider account issues, or business interruption.

To the maximum extent permitted by law, AdexPilot's total liability for claims relating to the service will not exceed the amount you paid to AdexPilot for the service in the three months before the event giving rise to the claim, or 100 USD if you have not paid anything.

15. Indemnity

You agree to defend, indemnify, and hold harmless AdexPilot from claims, damages, liabilities, losses, and expenses arising from your data, products, ads, provider accounts, use of the service, violation of these Terms, or violation of laws or third-party rights.

16. Governing terms and disputes

If a separate agreement or order form identifies governing law or dispute terms, those terms apply. Otherwise, disputes will be handled under the laws and courts applicable to the AdexPilot operating entity, without regard to conflict-of-law principles.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and may provide additional notice through the website, app, or email. Continued use of AdexPilot after changes become effective means you accept the updated Terms.
